Master Services Agreement (MSA)

This Master Services Agreement ("Agreement") governs all services provided by Bonneville Informatics LLC, an Idaho limited liability company ("Bonneville Informatics," "BNI," "Provider," "we," or "us"), to the client ("Client," "you," or "your").

This Agreement establishes the general terms and conditions under which Bonneville Informatics provides technical services, hosting services, system configuration, software deployment, artificial intelligence deployment, and related services.

Specific services are governed by applicable Service Addenda attached to or incorporated into this Agreement.

By purchasing, authorizing, or using any services, Client agrees to be bound by this Agreement and any applicable Service Addenda.

1. Scope of Agreement

This Agreement applies to all services provided by Bonneville Informatics, including but not limited to:

• One-time system setup and configuration
• Software installation and deployment
• Artificial intelligence and automation deployment
• Virtual machine and VPS hosting
• Remote desktop environments
• Infrastructure provisioning
• Technical support and maintenance
• Monitoring and system administration
• Custom software development

Each service type is governed by the applicable Service Addendum.

2. Acceptance

This Agreement becomes binding when Client:

• Clicks "Agree," "Accept," or similar acknowledgment, or
• Completes payment for services, or
• Authorizes Bonneville Informatics to perform services, or
• Uses or accesses services

Electronic acceptance is legally binding.

3. Client Responsibility for Systems and Security

Client is solely responsible for:

• All data stored on their systems or hosted environments
• All installed software and configurations
• All credentials, accounts, and access control
• Firewall and network configuration
• System updates and patching unless explicitly managed by Provider
• Safe operation of all deployed software, including AI and automation systems

Bonneville Informatics does not guarantee system security.

Client assumes full responsibility for ongoing system operation and security.

4. Artificial Intelligence and Autonomous Systems

Client acknowledges that services may involve artificial intelligence, automation, or agentic software.

Client assumes full responsibility for all AI and automation system behavior after deployment.

Bonneville Informatics LLC shall have no liability whatsoever for actions, decisions, or outcomes caused by:

• Artificial intelligence systems
• Autonomous agents
• Automated scripts or orchestration tools
• Machine learning systems
• Self-modifying or automated software

This includes, but is not limited to:

• Data exposure
• Unauthorized access
• System damage
• Service disruptions

5. Data and Backup Responsibility

Client is solely responsible for maintaining backups of all data unless backup services are explicitly included in a Service Addendum.

Bonneville Informatics shall not be liable for:

• Data loss
• Data corruption
• Backup failure
• Data exposure

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Bonneville Informatics LLC shall not be liable for any:

• Data loss
• Security breach
• System compromise
• Business interruption
• Loss of revenue or profits
• Artificial intelligence or automation actions

Provider’s total liability shall not exceed the amount paid by Client for the specific service giving rise to the claim.

7. No Warranty

All services are provided "AS IS" and "AS AVAILABLE."

Bonneville Informatics makes no guarantees regarding:

• Security
• Reliability
• Compatibility
• Performance
• Fitness for any purpose

8. Indemnification

Client agrees to indemnify and hold harmless Bonneville Informatics LLC from any claims arising from:

• Client system operation
• Client negligence
• Client software or configuration
• Artificial intelligence or automation system actions

9. Payment Terms

Client agrees to pay all fees associated with services.

Fees may include:

• One-time setup fees
• Recurring subscription fees
• Support fees
• Custom development fees

Failure to pay may result in service suspension or termination.

10. Termination

Bonneville Informatics may suspend or terminate services if Client:

• Violates this Agreement
• Fails to pay fees
• Creates security risk
• Uses services unlawfully

Client remains responsible for retrieving their data.

11. Governing Law

This Agreement shall be governed by the laws of the State of Idaho.

Venue shall be exclusively in Bonneville County, Idaho.

12. Privacy Policy

Bonneville Informatics collects and processes personal information as described in the Bonneville Informatics Privacy Policy.

The Privacy Policy governs how we collect, use, store, and protect personal information, including SMS communications and messaging consent where applicable.

By using the Services, Client acknowledges and agrees to the Privacy Policy.

13. Acceptable Use Policy

All Services are subject to the Bonneville Informatics Acceptable Use Policy ("AUP").

The AUP defines permitted and prohibited uses of Services, including restrictions on illegal activity, abuse, artificial intelligence misuse, messaging abuse, and infrastructure interference.

Client agrees to comply with the Acceptable Use Policy at all times.

Violation of the Acceptable Use Policy may result in suspension or termination of Services without notice.

14. Incorporation by Reference

The following documents are incorporated into this Agreement by reference:

• Acceptable Use Policy
• Privacy Policy
• Tech Support Plan Policy
• Applicable Service Addenda

These documents collectively govern use of the Services.

In the event of a conflict, the Master Services Agreement shall control unless explicitly stated otherwise.

15. Legal Document Availability

The current versions of all legal documents are available at:

Bonneville Informatics may update these documents periodically.

Continued use of Services constitutes acceptance of any updates.

16. Service Addenda

The following Service Addenda apply only when the corresponding services are purchased:

• Addendum A: One-Time Setup and Configuration Services
• Addendum B: Hosted Infrastructure and VPS Services
• Addendum C: Technical Support Services
• Addendum D: Artificial Intelligence and Automation Deployment
• Addendum E: Custom Software Development

Only applicable Addenda apply to each service.

Addendum A: One-Time Setup and Configuration Services

Bonneville Informatics provides one-time setup and configuration on Client-owned systems.

After completion, Client assumes full responsibility for system operation, maintenance, and security.

Bonneville Informatics provides no ongoing management unless separately contracted.

Addendum B: Hosted Infrastructure and VPS Services

Bonneville Informatics provides hosted virtual machines, infrastructure, and remote computing environments.

Client retains full responsibility for software installed within hosted systems.

Bonneville Informatics retains ownership of underlying infrastructure.

Service availability is not guaranteed.

Addendum C: Technical Support Services

Bonneville Informatics may provide ongoing technical support.

Support scope and priority depend on the purchased support tier.

Support does not guarantee issue resolution within any specific timeframe.

Addendum D: Artificial Intelligence and Automation Deployment

Bonneville Informatics may deploy AI, automation, or agentic software.

Client assumes full responsibility for operation and consequences of such systems.

Bonneville Informatics provides no guarantees regarding AI correctness, safety, or behavior.

Addendum E: Custom Software Development

Bonneville Informatics may develop custom software solutions.

Unless otherwise agreed in writing:

• Client receives a license to use the software
• Bonneville Informatics retains ownership of underlying intellectual property

Required Checkout Acknowledgment

By purchasing services, you acknowledge that:

• You agree to this Master Services Agreement and applicable Service Addenda
• You are responsible for securing and maintaining your systems
• Bonneville Informatics is not liable for breaches, data loss, or AI system actions
• This Agreement is legally binding upon purchase
